1. Acceptance of Terms

1.1 Agreement

By creating an account, accessing the Platform, or using any services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and Platform notifications. Continued use after changes constitutes acceptance.

1.3 Eligibility

You must be:

• At least 18 years of age
• Legally able to enter into binding contracts
• Not prohibited from using the services under applicable law

2.1 Platform Services

• Available in Monthly, Weekly, Daily, and Autopilot™ cadences

Authority Knowledge Surface™

• Persistent authority content creation
• AI citation optimization
• Available in Field, Orbit, and Horizon depths

Boss AI Worker

• Enterprise AI control plane
• Governed automation with AGE™, CWAR™, and CPR™ primitives
• System health monitoring
• Task routing and budget enforcement

Enterprise-Safe AI Voice Receptionist

• Confidence-weighted voice automation
• Human-in-the-loop approvals
• Full conversation replay capability

2.2 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance (with notice)
• Make emergency updates for security
• Temporarily suspend service for technical issues

2.3 Service Modifications

We reserve the right to:

• Modify features and functionality
• Add or remove services
• Change pricing (with 30 days notice for existing customers)
• Discontinue services (with 90 days notice and pro-rata refunds)

3. User Obligations

3.1 Account Security

You are responsible for:

• Maintaining confidentiality of account credentials
• All activity under your account
• Notifying us immediately of unauthorized access
• Using strong passwords and enabling two-factor authentication

3.2 Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems
• Reverse engineer, decompile, or disassemble the Platform
• Use the Platform to harm, harass, or spam others
• Scrape, crawl, or automated harvest data (except via API)
• Resell or redistribute services without authorization
• Submit false, misleading, or fraudulent information

3.3 Content You Submit

You retain ownership of content you submit (URLs, website data). You grant us a limited license to:

• Analyze submitted content
• Generate reports and recommendations
• Store and process data as necessary for service delivery

You represent and warrant that:

• You have rights to submit the content
• Submitted content does not violate third-party rights
• Content complies with all applicable laws

4. Payment Terms

4.1 Pricing

Current pricing for services:

Ghost Authority Layer™:

• Monthly: $49.97/month
• Weekly: $104.97/month
• Daily: $164.97/month
• Autopilot™: $199.97/month

Authority Knowledge Surface™:

• Field: $297/month
• Orbit: $597/month
• Horizon: $1,297/month

Bundles available combining GAL + AKS at discounted rates.

4.2 Payment Processing

Payments are processed securely through Stripe. By subscribing, you authorize:

• Automatic recurring charges
• Payment method on file to be charged
• Price adjustments (with 30 days notice)

4.3 Billing Cycles

• Monthly: Billed monthly on subscription date
• Annual (Baker's Dozen): Pay for 10 months, receive 13 months of service

4.4 Refunds

• No refunds for partial months
• Annual subscriptions: Pro-rata refunds if cancelled within first 30 days
• Exceptions: At our sole discretion for service failures

4.5 Failed Payments

If payment fails:

• Service may be suspended after 7 days
• Account terminated after 30 days
• Reactivation requires payment of all outstanding amounts

4.6 Cancellation

You may cancel anytime:

• Service continues until end of billing period
• No refunds for unused time (except annual within 30 days)
• Data retained for 90 days post-cancellation

5. Intellectual Property

5.1 Our IP

All Platform content, features, and functionality are owned by 411bz and protected by:

• Copyright
• Trademark
• Trade secret
• Patent (pending/granted)

• AGE™ (Approval-Gated Event Escalation)
• CWAR™ (Confidence-Weighted Action Routing)

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform
• Generate reports for your business use only
• Cannot sublicense, resell, or redistribute

5.3 Trademarks

411bz®, Ghost Authority Layer™, Authority Knowledge Surface™, Answer Authority Engineering™, and related marks are trademarks of 411bz. You may not use our trademarks without prior written permission.

6. Warranties and Disclaimers

6.1 Service "AS IS"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness
• Uninterrupted or error-free operation

6.2 No Guarantees

We do not guarantee:

• Specific AI visibility improvements
• Specific citation rates
• Search engine rankings
• Business outcomes or revenue

Results vary based on website quality, industry, competition, and AI system behavior (which we do not control).

6.3 AI Limitations

AI systems (ChatGPT, Perplexity, Claude, etc.) are third-party services. We cannot control:

• How they crawl websites
• How they evaluate authority
• When they cite sources
• Their algorithms or ranking factors

We provide optimization for AI visibility, not guarantees of specific outcomes.

7. Limitation of Liability

7.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 411BZ'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

7.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Lost profits, revenue, or business opportunities
• Loss of data or goodwill
• Service interruptions
• Third-party actions (AI systems, payment processors, etc.)

7.3 Force Majeure

We are not liable for failures caused by events beyond our reasonable control:

• Natural disasters
• War, terrorism, civil unrest
• Government actions
• Internet or infrastructure failures
• Third-party service outages (Cloudflare, Stripe, OpenAI)

8. Indemnification

You agree to indemnify and hold harmless 411bz, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Platform
• Violation of these Terms
• Violation of third-party rights
• Your submitted content
• Negligence or misconduct

9. Data and Privacy

9.1 Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, incorporated by reference.

9.2 Data Processing

For enterprise customers, a separate Data Processing Agreement (DPA) may be required for GDPR compliance.

9.3 Data Ownership

• Your Data: You own content you submit
• Our Data: We own analysis, scores, recommendations, platform data
• Shared Data: Aggregated, anonymized data may be used for platform improvement

10. Termination

10.1 By You

You may terminate at any time by:

• Cancelling subscription through account settings
• Emailing [email protected]
• Service ends at end of billing period

10.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse or overload systems
• Fail to pay amounts due
• Harm the Platform or other users

10.3 Effect of Termination

Upon termination:

• Access to Platform immediately revoked
• No refunds for prepaid amounts (except as required by law)
• Data retained for 90 days then deleted
• Billing records retained for legal compliance (7 years)

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, contact us at [email protected] to attempt informal resolution. We commit to good-faith negotiations for 30 days.

11.2 Arbitration Agreement

Any disputes shall be resolved through binding arbitration, not court.

Exceptions to arbitration:

• Small claims court (up to $10,000)

11.3 Class Action Waiver

YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY. NO CLASS ACTIONS, CONSOLIDATED PROCEEDINGS, OR REPRESENTATIVE ACTIONS.

11.4 Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles.

12. Export Controls

The Platform may be subject to U.S. export control laws. You agree not to:

• Export or re-export the Platform to prohibited countries
• Use the Platform in violation of export laws
• Provide access to sanctioned individuals or entities

13. Government Use

If you are a U.S. government entity, the Platform is a "Commercial Item" as defined in FAR 2.101, provided with only those rights as are granted to non-government users.

14. Entire Agreement

These Terms, together with the Privacy Policy and any DPA, constitute the entire agreement between you and 411bz regarding the Platform.

15. Severability

If any provision is found unenforceable, that provision will be modified to reflect the parties' intention, and remaining provisions remain in full effect.

16. No Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

17. Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

19. Specific Service Terms

19.1 Ghost Authority Layer™

• Injects authority content visible only to AI crawlers
• Content is non-personal and business-focused
• May be updated or rotated without notice
• Does not modify your actual website

19.2 Authority Knowledge Surface™

• Creates persistent, public content on your behalf
• Content is optimized for AI citation
• You retain approval rights over published content
• Content may be indexed by search engines and AI

19.3 Training Data

• We may use aggregated, anonymized data from URL analysis to improve services
• Individual customer data is never shared or sold
• You may opt-out of anonymized data contribution

19.4 AI Model Usage

• We use third-party AI models (OpenAI, Cloudflare Workers AI)
• Subject to their respective terms and policies
• We govern all AI usage through Boss AI Worker
• Hard budget limits prevent unexpected costs

20. Beta Features

We may offer beta or experimental features:

• Provided "as is" without warranties
• May be discontinued at any time
• Feedback may be requested
• May become paid features in the future

21. API Usage (If Applicable)

If you use our API:

• Subject to separate API Terms and rate limits
• Authentication required
• Abuse will result in termination
• We may change or deprecate endpoints with notice

22. Compliance Obligations

You agree to:

• Comply with all applicable laws (GDPR, CCPA, CAN-SPAM, etc.)
• Obtain necessary consents for data processing
• Not use Platform for illegal purposes
• Maintain your own legal compliance

23. Third-Party Services

The Platform integrates with:

• Stripe (payment processing)
• Cloudflare (infrastructure)
• OpenAI (AI models)
• Other services as disclosed

You agree:

• These services have their own terms
• We are not responsible for third-party services
• Service interruptions may occur

24. Feedback and Suggestions

If you provide feedback, suggestions, or ideas:

• We may use them without obligation or compensation
• You grant us perpetual, worldwide, royalty-free license
• No confidentiality obligation unless separately agreed

25. Audit Rights (Enterprise Only)

Enterprise customers may have audit rights per separate agreement. Standard plans do not include audit rights.

26. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

27. Survival

Provisions that by their nature should survive termination will survive, including:

• Intellectual Property
• Limitation of Liability
• Indemnification
• Dispute Resolution
• Governing Law

28. Notice

All notices must be in writing:
